BlackTV247 provides an online video service whereby it both hosts (on the BlackTV247.com website) and directly links (through its network of distribution and affiliate partner websites) to a broad selection of Black related video clips, movies, TV shows and other content. BlackTV247’s video service including our content, video player, widgets, buttons, banners, tools, features, etc. are referred to collectively as the BlackTV247 Services. Visiting the BlackTV247 Site or using any of the BlackTV247 Services via any of our partner sites (whether or not you are a registered user) means that you are accepting the Terms of Use. Our service is not intended for children under 13 years of age and we do not intentionally collect personally identifiable information from children under the age of 13.

Access: Access to the BTV247 website and the BTV247 Services is restricted to individuals who are 13 years of age or older.

The License: For your viewing pleasure, we will grant you a limited license to view the Content and use the Services of BlackTV247 on a personal non-commercial basis.

The Content: The Content and Services on BlackTV247 can only be used on a personal non-commercial basis. You cannot alter, interfere with, or circumvent any copyright, trademark, or other proprietary notices marked on the Content or any digital rights management mechanism, device, or other content protection or access control measure associated with the Content. The copying, downloading, stream capturing, reproduction, duplication, archiving, distribution, uploading, publication, modification, translation, broadcast, performance, display, sale, or transmission of the Content is strictly prohibited unless it is expressly permitted by BlackTV247 in writing. For the avoidance of doubt, the Content protected by these restrictions, includes, but is not limited to the following, any text, layout, logos, graphics, interface, photographs, as well as audio and video materials. Furthermore, creating derivative works or materials that otherwise are derived from or based on in any way the Content, including montages, mash-ups and similar videos, wallpaper, desktop themes, greeting cards, and merchandise, unless it is expressly permitted by BlackTV247 in writing, is completely prohibited. You may not incorporate the Content into any hardware or software application.

The Video Player: You are prohibited from modifying, removing, interfering with or otherwise altering the BlackTV247 video player, its underlying technology, any digital rights management mechanism, or other content protection or access control measure incorporated into the Video Player. This restriction includes disabling, reverse engineering, modifying, or otherwise circumventing the Video Player in a manner that enables users to view the Content without displaying visibly both the Video Player and all surrounding elements (including the graphical user interface, any advertising, copyright notices, and trademarks) of the webpage where the Video Player is located.

Embedding a Video Using the Video Player: You may embed videos using the Video Player, provided you do not embed the Video Player on any website or other location that contains or hosts content that is unlawful, infringing, pornographic, obscene, defamatory, libelous, threatening, harassing, vulgar, indecent, profane, hateful, racially or ethnically offensive, encourages criminal conduct, gives rise to civil liability, violates any law, rule, or regulation, infringes any right of any third party including intellectual property rights, is otherwise inappropriate or objectionable to BlackTV247 (in BlackTV247's sole discretion), or links to infringing or unauthorized content (collectively, "Unsuitable Material"). You may not embed the Video Player into any hardware or software application.

Ownership: You agree that BlackTV247 owns and retains all rights to the BlackTV247 Services. You further agree that the Content provided to you and other users as part of the BlackTV247 Services is owned by BlackTV247 and BlackTV247's licensors. The BlackTV247 Services and the Content are protected by copyright, trademark, and other intellectual property laws.

Your Commitment: In our effort to maximize the user experience for all of the visitors to BlackTV247, it is important that we all observe the same high standard of activity and interaction. In particular, you and the other users of BlackTV247’s Services can only utilize BlackTV247 on an appropriate and lawful basis. As such, you agree not to utilize the BlackTV247 Services in any way that:


  • - violates the rights of others including patent, trademark, trade secret, copyright, privacy, publicity, or other proprietary rights;

  • - uses technology or other means to access the Content or the BlackTV247 Services that is not authorized by BlackTV247 (including by disabling or circumventing any content protection or access; control mechanisms intended to prevent the unauthorized download, stream capture, linking, reproduction, or distribution of the Content or BlackTV247 Services);

  • - attempts to damage, disable, overburden, impair, or gain unauthorized access to the BlackTV247 Services, including BlackTV247's servers, computer network, or user accounts;

  • - attempts to collect personally identifiable information in violation of BlackTV247's Privacy Policy;

  • - attempts to remove, modify, disable, or otherwise impair any advertising in connection with the BlackTV247 Service;

  • - involves accessing the BlackTV247 Services through any automated means, including "robots," "spiders," or "offline readers" (other than by individually performed searches on publicly accessible search engines for the sole purpose of, and solely to the extent necessary for, creating publicly available search indices — but not caches or archives — of the BlackTV247 Services and

    - excluding those search engines that host, promote, or link primarily to infringing or unauthorized content);

  • - encourages conduct that would constitute a criminal offense or give rise to civil liability;

  • - violates these Terms or any guidelines or policies posted by BlackTV247; or

  • - interferes with any other party's use and enjoyment of the BlackTV247 Services.


No Spam! It is prohibited to use the BlackTV247 Services to harvest information about users for the purpose of sending, or to facilitate or encourage the sending of, unsolicited bulk or other communications. We reserve the right to utilize any technical remedies to prevent spam or unsolicited bulk or other communications from entering, utilizing, or remaining within our computer or communications networks. If you post or otherwise send spam, advertising, or other unsolicited communications of any kind through the BlackTV247 Services, you acknowledge that you will have caused substantial harm to BlackTV247 and that the amount of such harm would be extremely difficult to measure. As a reasonable estimation of such harm, you agree to pay BlackTV247 $50 for each such unsolicited communication you send through the BlackTV247 Services.

Downloads: Utilization of certain BlackTV247 Services may require downloading of software or other materials or agree to additional terms and conditions. Unless expressly addressed by additional terms and conditions, they are included into these Terms.

Suspension/Termination: Unforeseen to us, we may suspend, change, or discontinue — permanently or temporarily — all or some of the BlackTV247 Services with consideration to any or all users, at any time without notice. You acknowledge that BlackTV247 may do so in BlackTV247's sole discretion. You also agree that BlackTV247 will not be liable to you for any suspension, discontinuance, or modification of the BlackTV247 Services.

4. PAYMENTS
We are proud to be able to provide access to the BlackTV247 Site and Services for free, however, if the determination is made to ever begin charging for certain BlackTV247 products and services, we will be sure to clearly notify you. At that point you will be given the choice to decline the use of these services or begin paying for them. BlackTV247 Site visitors and service users are responsible for paying their own Internet access fees.

5. ACCOUNTS AND REGISTRATION
From time to time, accessing certain products and features at BlackTV247 will require registration or creating an account. In the event you elect to create an account or otherwise register with BlackTV247, the following terms and conditions will be applicable.

All registration information you submit must be accurate and updated. Please keep your password confidential. You will not have to reveal it to any representative of any Site. You are responsible for all use on your account, including unauthorized use by any third party. Therefore, it is critical that you do not share your password with anyone. You may terminate your account by emailing support@BlackTV247.com (subject line: "Account Termination Request"). Please identify your account and provide a valid reply email address in the event we require additional information to terminate your account.

We reserve the right to immediately terminate your account or your use of the BlackTV247 Services at any time, without notice or liability if BlackTV247 determines, in its sole discretion, that you have breached these Terms of Use, violated any law, rule, or regulation, engaged in other inappropriate conduct, or for any other business reason. We also reserve the right to terminate your account or your use of the BlackTV247 Services if such use places an undue burden on our networks or servers. Of course, we would prefer to avoid such termination; therefore, we may use technology to limit activities, such as the number of calls to the BlackTV247 servers being made or the volume of User Material being posted.

6. COLLECTION AND USE OF PERSONAL INFORMATION

The Privacy Policy is incorporated by reference and made part of these Terms of Use. 7. USER REVIEWS, COMMENTS, AND OTHER MATERIAL

Lastly, you agree that BlackTV247 does not guarantee confidentiality relative to any user material.

For the avoidance of doubt, any material that you post on BlackTV247 continues to be protected by any and all ownership rights that you had prior to the posting. BlackTV247 does not claim any ownership rights to material that you post.

When you decide to post your user material, you are granting BlackTV247 a limited license to use, display, reproduce, distribute, modify, delete from, add to, prepare derivative works of, publicly perform, and publish such User Material through the BlackTV247 Services worldwide, in perpetuity, in any media formats and any media channels now known or hereinafter created. Without this license, we would not be able to provide your User Material in connection with the BlackTV247 Services. The license you grant to BlackTV247 is non-exclusive (meaning you are not prohibited by us from licensing your User Material to anyone else in addition to BlackTV247), fully-paid, and royalty-free (meaning that BlackTV247 is not required to pay you for the use of your User Material), and sub licensable (so that BlackTV247 is able to use its affiliates, subcontractors, and other partners, such as internet content delivery networks to provide the BlackTV247 Services). By Posting your User Material, you also hereby grant each user of the BlackTV247 Services a non-exclusive limited license to access your User Material, and to use, display, reproduce, distribute, and perform such User Material as permitted through the functionality of the BlackTV247 Services and under these Terms of Use.

Third Party Posts: Despite these restrictions, please be aware that some material provided by users may be objectionable, unlawful, inaccurate, or inappropriate. BlackTV247 does not endorse any User Material, and User Material that is posted does not reflect the opinions or policies of BlackTV247. We reserve the right, but have no obligation, to monitor User Material and to restrict or remove User Material that we determine, in our sole discretion, is inappropriate or for any other business reason. In no event does BlackTV247 assume any responsibility or liability whatsoever for any User Material, and you agree to waive any legal or equitable rights or remedies you may have against BlackTV247 with respect to such User Material. You can help us tremendously by notifying us of any inappropriate User Material you find. Some of these websites may be co-branded with our name or logo, even though they are not operated or maintained by us. For example, users may use the BlackTV247 Services via our affiliate site network. Notwithstanding, BlackTV247 is not responsible for the privacy practices of our affiliate site network. 10. DISCLAIMER OF WARRANTIES, LIMITATION OF LIABILITY AND INDEMNITY
While we do our best to ensure the optimal performance of the BlackTV247 Services, you agree that use of the BlackTV247 Services is at your own risk. The BlackTV247 Services, including the BlackTV247 Site and the other sites, the content, the video player, user material, and any other materials contained on or provided through the sites, are provided “as is” and, to the fullest extent permitted by law, are provided without warranties of any kind, either express or implied. Without limiting the foregoing, BlackTV247 does not make any warranties of fitness for a particular purpose; or that the BlackTV247 Services will be uninterrupted, free of viruses and other harmful components, accurate, error free, or reliable.

In no event shall BlackTV247 or its affiliates, successors, and assigns, and each of their respective investors, directors, officers, employees, agents, and suppliers (collectively, the “BlackTV247 Parties”), be liable for any direct, indirect, punitive, incidental, special, consequential, or other damages, including loss of profits, arising out of or in any way related to the use of the BlackTV247 Services (including any information, products, or services advertised in, obtained on, or provided through the Sites), whether based in contract, tort, strict liability, or other theory, even if the BlackTV247 Parties have been advised of the possibility of damages. Certain laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. You agree to defend, indemnify, and hold harmless the BlackTV247 Parties from and against any and all liabilities, claims, damages, expenses (including reasonable attorney’s fees and costs), and other losses arising out of or in any way related to your breach or alleged breach of these Terms or your use of the BlackTV247 Services.

12. GENERAL INFORMATION
These Terms of Use are governed by, and construed in accordance with, the laws of the State of California without giving effect to principles of conflicts of law. In the event of a dispute, you agree to submit to the exclusive jurisdiction of the courts located in the Los Angeles County of the State of California.

Software and the transmission of applicable technical data, if any, in connection with the BlackTV247 Services are subject to export controls. You agree to comply with all applicable laws regarding software and the transmission of technical data exported from the United States or the country in which you reside.

Please note that these Terms of Use, including BlackTV247's Privacy Policy and Copyright Policy are incorporated in these terms, constitute the entire legal agreement between you and BlackTV247 and govern your use of the BlackTV247 Services (but excludes any services, if any that BlackTV247 may provide to you under a separate signed written agreement).  Any changes or amendments to these Terms are only valid with written approval from BlackTV247. If any provision of these Terms is held to be unlawful, void, or unenforceable, you and we agree that the provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provisions.
